Delaware’s business code is viewed as management and director friendly.

If your client organizes in a state other than where they are physically located, they will need to hire a registered agent to accept service of certain documents, such as Complaints. This is not a large hurdle administratively, but it will increase costs for the entrepreneur’s new venture. It may not be worth the cost.
